| James I. Michael, P.E.

Jim has been the President and CEO of Alliance Power, Inc. (“Alliance”) since 1999 and has extensive experience in the planning, permitting, financing, design, construction, operation and administration of water, wastewater, remediation, power generation, and other infrastructure projects for public utilities, mining, oil refining, manufacturing, and the industrial sectors. To assist with the development and commercialization of new technologies, Alliance has secured numerous grants, subsidies, low-cost loans, tax equity and other innovative financing from the Department of Energy, Department of Defense, state agencies and private investment firms.

Mr. Michael has over 40 years of experience in project financing, development, engineering, construction, and operations, including Senior Process Design Manager, Vice President - Engineering, and other corporate level management positions with Black & Veatch, Ebasco, Foster Wheeler, and Harding Lawson Associates. He has been responsible for overseeing numerous projects for municipal, utility and industrial clients in both North America and throughout the world. 

Jim is a registered professional engineer in Texas. He received a Bachelor of Science in Civil Engineering from the University of Texas and a Master of Science in Environmental Engineering from Stanford University, and has numerous publications and presentations at national conferences.

| Brian S. Moreau, P.E.

Mr. Moreau joined Alliance Power, Inc. ("Alliance") in 1999 as a Project Manager and Director of Electrical Systems. Responsibilities include business development, project scoping, equipment selection, and balance of plant conceptual design, contract negotiations, and hands-on execution of electric generation projects from design through commercial operation.  

Mr. Moreau has over 35 years of project management, engineering, procurement, and construction experience, specializing in design and construction of energy infrastructure.  His responsibilities have included the supervision and development of conceptual and detailed designs including plant physical design, equipment specifications, revenue metering, and control, protection, and automation schemes. In addition, Brian serves as Compliance Manager for the Colorado Highlands Wind facility in eastern Colorado, ensuring all NERC and WECC regulatory requirements are met.

Mr. Moreau has supervised or performed numerous electric system studies including protective relaying scheme selections, substation automation studies, distribution system studies, coordination studies, fire protection, and noise level assessments.

Brian has been a registered professional engineer in Colorado and California for over 30 years, with past (inactive) registration in Nevada, Arizona, and Nebraska. He received a Bachelor of Science degree in Electrical and Computer Engineering from the University of Nebraska, and holds a Master of Science degree from the University of Colorado in Electrical Engineering.

Mr. Moreau has served on numerous Standards Committees for the Institute of Electrical and Electronics Engineers (IEEE), and is a former Chair of the Denver IEEE Power Engineering Society/Industrial Automation Society.

| Bruce L. Pohlman, P.E.

Mr. Pohlman joined Alliance Power Inc. ("Alliance") in 1999 as a Project Manager.  He has over 30 years of experience in the management, evaluation, permitting, design and construction of electrical generating and water treatment engineering projects. He is an expert in project permitting, systems analysis, and economic evaluations for gas turbine, reciprocating engine, renewable, fuel cell, and energy storage electrical generating installations. 

In addition to project management responsibilities, Mr. Pohlman has conducted environmental investigations and permit compliance reviews, project communications and coordination, civil infrastructure conceptual design, construction management activities, energy resource modeling and assessments, equipment procurement and scheduling, health and safety plans, and EPC contractor supervision.  

Prior to joining Alliance, Mr. Pohlman spent over 8 years with Black & Veatch performing a variety of design, process performance evaluations, and other engineering activities for municipal, utility, and industrial clients.

Mr. Pohlman is a registered engineer in Colorado.  He received a Bachelor’s degree with Highest Honors in Chemistry from Williams College in 1987 and a Master’s degree in Environmental Engineering from Stanford University in 1990.

| Scott Kelly, Financial Manager

Scott has been Alliance’s financial manager for over 12 years, and he graduated in 1992 with a degree in finance and accounting from University of Colorado at Boulder.  

Scott manages accounting, records, book-keeping, tax filings, financial audits, disbursements, invoice payments, bank records and reconciliations, pro-forma economic modeling and tracking, budget variances, financial verifications and compliance, and other financial requirements. 

Scott has assisted Alliance with the accounting, tax, audit and financial management of over 20 special purpose limited liability companies and has participated in the implementation and execution of the accounting and financial structures for all of Alliance’s major projects including Alliance’s financial management and governance. 

Scott has attended numerous post-graduate continuing education classes and other forums to remain current in energy and renewable energy related accounting policies and procedures.
